Hire a startup attorney. Not a business attorney, a STARTUP attorney. It will save you money. I nearly had to pay taxes on over $250k of unrealized income, because things weren’t filed properly after our seed round by the wrong attorney.

any tips for finding a good startup attorney?

<p>Most of them market themselves as one, so they're relatively easy to find. We found one because of a friend that was using him, so we had heard first-hand that he was affordable and focused on startups. Our other attorney came from the accelerator we were in.</p>

<p>Whoever you use, make sure they've worked with other startups and have been through the fundraising process before. Also, they should be willing to work on deferment.</p>
